help with locked out/corrupt file

I have and excel 2003 file, password protected for opening and editing, (i have
the passwords). but when i try to open it I get the following message box:

"file" cannot be accessed. The file may be read-only, or you may be trying to
access a read only location. Or, the server the document is stored on may not be
responding.

the file is located on a memory stick....  i have tried opening it on 3
different computers (2 XP and one Win2K) the file isn't on a read only location.
Any ideas how either to access it (through vba or what ever i can get to open
it) and or fix it?

Have you tried copying the file  to a hard drive first?

yes i've copied the file  to 2 different hard drives... i also have run defrag on
the mem stick.

I've just set one up on a memory stick and have had no trouble opening it.

What happens when you copy it to hard disk and then open it?

i've used it off the memory stick for months.. no problems.. then all of a
sudden it stopped opening.  other files on the mem stick still open....
it's just this one file  that i'm having the problem with..  same message
boxes when trying to open if from a copy on the hard drive

Have you associated a certificate with the excel  file?

i'm going to have to say no... since i don't know what your talking about.... :)
but as i said.. it was in use and worked for about 2 months..  then just
stopped

Have you tried with a backup of the file  from before it stopped working?
